National Silver Dollar Roundtable

Section 1. This organization shall be know as the National Silver Dollar Round-Table (NSDR).

Section 2. The purpose of this organization is to be an educational, nonprofit club as defined in Section 501©(6) of the internal revenue code. The objectives of the said organization shall be to advance the knowledge of numismatics especially for U.S. silver dollars along educational , historical and scientific lines; to assist in bring about better cooperation among all persons interested in collecting, investing, sales, grading, exhibiting and prevention of U.S silver dollars to acquire and disseminate trustworthy and accurate information concerning these topics; to promote greater popular interest and education in numismatics, especially that of U.S silver dollars, through educational forums, social meetings, written articles, newsletters and other publications of mutual interest; to acquire, own hold dispose of such personal property and own real estate for its use as may be necessary to properly carry out the purpose herein set forth, and to perform all such other acts and thing as may be necessary to carry into effect said purpose.

Section 3. This organization was founded on November 12, 1982.

Article II

Membership

Section 1. The membership of this organization shall consist of: Life Member, Regular member and Associate Membership.

Section 2. Each type membership shall be designed with prefix letters followed by membership numbers as follows:

Life Member LM-001…
Regular Member M-001…
Associate Member A-001…

Section 3. The minimum age for membership shall be 18 years. For Life Member, Regular Members and Associate Members.

Section 4. Any regular member shall have any and all rights of membership. All Elective Officers shall be regular members of the organization. Associate members shall have all benefits except voting and use of organization emblem.

Article III

Government

Section 1. The governing body of the organization shall consist of the President, Vice President, Secretary, Treasure and the Board of Governors, each having equal right.

Section 2. The Elective Officers of the organization shall consist of President, Vice President, Secretary, Treasure and the Board of Governors. All Officers of the organization shall have attained age 18 when elected to their respective officers.

Section 3. The elective Officers, except Board of Governor members, shall be elected by ballot of the membership and shall hold their respective offices for a term of two years, or until such time as their successors are properly elected or appointed and installed.

Section 4. The Vice President shall act as president in hisher absence, and shall be elevated to President upon the death, dismissal or resignation of the President. The line of succession thereafter shall be Secretary and the Treasurer. Vacant offices will be filled by appointment of the President, for the remainder of the term, subject to the majority vote of the elective Officers.

Section 5. The board of Governors shall consist of Seven members, each serving a term of three years. Election of Board members shall be by ballot of the membership and shall be staggered so that two or three members of the Board are elected at the same time as the Officers every other year or between Officer election years. Vacancies with the Board of Governors because of death, dismissal or resignation, will be filled by appointment of the President, until the next general election, subject to the majority vote of the Elective Officers. The past President will act in an advisory capacity to the Board of Governors with no voting rights.

Section 6. The Board of Governors is established for the benefit and guidance of the organization, They shall have the power to veto at all overrule any organization official when they feel a policy or action is not in keeping with the integrity and the benefit of the organization, or when in their opinion, an official does not stay within the bounds of propriety, dignity and good taste. This veto shall consist of a majority vote of the Board and this veto shall be final.

Section 7. In the event that any Elective Officer does not contribute, participate, or indicate any intention of being active in their responsibility for a period of not less than six months, or, if in the opinion of the Board Elective Officers does not stay within the bounds of propriety, dignity and good taste, the Secretary shall make attempts to contact said officer to verify their attention on the matter. If the Secretary cannot contact the Officer or receive assurance of their desire or capacity to function actively in their official position, the Board shall have the right to vote, at the direction of the President, to have the Officer removed from the position. Section 8. No member of the organization, including Elective Officers, shall enter into any contract on behalf of the organization with another person or agency without the sanction of the majority vote of the Elective Officers, when such contract involves commitments of finical payment other than ordinary operating expenses of the organization.

Article IV

Amendments

Section 1. Any amendment to this constitution must be submitted in writing and received a three- quarter vote of the Elective Officers.

Section 2. This constitution may be amended by two-thirds majority of the voting membership.

N.S.D.R. By-Laws

ARTICLE I

Duties of Officers

Section 1. The President shall preside at all meetings of the organization, enforce strict observance of the Constitution and By-Laws; appoint, if necessary, a Board Secretary to assist with correspondence and act as liaison with the Board of Governors; have authority to approve all organization expenditures and appoint all committees and personnel. These committees and personnel shall remain in power for his term in office. All such committees and personnel will terminate at the expiration of the term of office held by the President who appointed them. When a new President is elected, he shall have authority to eliminate or replace any or all committees and personnel at his discretion, by announcing the names and assignments of such committees and personnel (or portion thereof) shall continue to administer their previous duties.

Section 2. The Vice President shall assist the President in the discharge of his duties and act in his absence in routine matters of administration, but not in formulating any new decisions, unless approved by the President and a threequarters vote of the Elective Officers.

Section 3. The Secretary shall handle all general correspondence and preserve all documents and files. He shall submit necessary reports and other material required by the Elective Officers, act as the center of communications for the organization and Elective Officers, keep a record of all members and their standing, receive membership applications, and turn over all fees and monies received to the Treasurer.

Section 4. The Treasurer shall maintain in good order all organization accounts and funds. He shall supervise all organization financial matters and keep accurate and complete records of all financial transactions. He shall issue funds as required in payment of just debts and expenses and provide a financial report to the Elective Officers and membership at least every six months. He shall file all necessary federal, state or local tax returns. All financial books and records shall be turned over to the organization or succeeding Treasurer at the expiration of the term of office or upon written request of a majority of Elective Officers.

Section 5. The Board of Governors shall function as an advisory and decision-making body for the furtherance of the organization’s objectives and to promote orderly conduct of the organization’s business. The Board of Governors shall have the power to veto Elective Officer’s decisions and actions. Each Board of Governors is expected to actively participate in the various organization functions, committees, and meetings.

Section 6. Elective Officers shall serve without compensation except for services or materials provided over and above the normal duties of the position, providing that the Elective Officers may, at their discretion, establish by a majority vote a payment schedule for specific services considered to be in excess of normal duties.

ARTICLE II

Membership Application and Dues

Section 1. All applications for new or reinstated membership, together with the proper amount of dues shall be sent to the Secretary. The Secretary will then refer the application to the Elective Officers for action. The Elective Officers will be majority vote accept or reject the application and the Secretary will notify the applicant of the decision.

Section 2. Annual dues for all types of membership will be determined by the Elective Officers at the annual Board meeting. Any member desiring Life Membership shall have been a regular member in good standing for period of at least one year.

Section 3. Dues renewal times shall be the same for all members and be based on the annual meeting time. The second year’s dues will be determined on a prorated basis based on the time of their acceptance of membership. Any member in arrears for a period of more than two months shall be dropped from the membership rolls.

ARTICLE III

Meetings

Section 1. The organization shall meet at least once each year, and at other times at the discretion of the Elective Officers.

Section 2. The Board of Governors shall meet in session at least once a year to conduct the affairs of the organization. Special meetings of the Board may be called at any time and place, provided all Elective Officers are given sufficient advance notice. In order to conduct official organization business, there must be three-quarters of the Elective Officers present or voting. Each Elective Officer shall have one vote on an and all issues and a majority vote shall govern. Proxies must be obtained prior to any physical meeting.

Section 3. Official business/resolutions may be conducted/adopted by mail provided that a copy thereof is first mailed to all Elective Officers.

ARTICLE IV

Elections

Section 1. The Secretary will assemble a list of nominations along with a biography, not exceeding 200 words in length, of each nominee wo has accepted the nomination.

Section 2. Ballots and nominee biographical sketches are to be mailed to the membership not less than 30 days prior to the date of any elections, and ballots must be postmarked no later than that date to be counted as a valid ballot. The results and totals of all votes for any elective office or resolution will be tabulated by an Election Committee to be appointed by the President. The President will announce the names of those duly elected at the annual membership meeting or publish it in the organization’s publication.

ARTICLE V

Resignations, Expulsions, Grievances

Section 1. Resignations shall be acted upon by the Elective Officers within 14 days of proper notification of the Elective Officers by the President.

Section 2. Any member violating any provision of the Constitution and By-Laws of the organization, committing any unfair or unethical act in their dealings with others, unjustly defaming the character of any other member, committing a criminal offense or engaging in conduct detrimental to the welfare of the club shall be subject to to penalties ranging from reprimand to expulsion at the discretion of the Board by a majority vote. Such charges shall be filed in writing to the Secretary, who shall provide a written copy to the accused member requesting a written answer to the charges. The matter shall then be referred to the Arbitration Committee and the Board of Governors for action.

Section 3. An Arbitration committee consisting of a minimum of three members of the organization, one of whom shall be a Board member to chair the committee, shall be appointed by the President. All grievances against an organization member shall be submitted to the Secretary and investigated by this committee. Should the committee be unable to resolve the situation, the case shall be submitted to the Board for action.

Section 4. All committees appointed by the President except the arbitration committee shall investigate, etc. and present their findings to the Board for final approval.

ARTICLE VI

General

Section 1. The organization shall adopt an Emblem for use by regular and life members only. It is to denote individual membership only and not imply by its use that the contents of any communication is of official nature.

Section 2. The organization membership mailing lists shall be considered strictly confidential and shall be used solely for organizational purposes. Members addresses shall never be provided to any club, organization or dealer unless permission is granted in writing by the members.

Section 3. The organization shall publish an official organization publication. The Editor shall be responsible for soliciting and editing articles, news items, official notices, letters and other such matters appropriate for publication. The Board will establish policies for the organization publication content, format and publishing.

ARTICLE VII

Amendments

Section 1. The By-Laws may be amended by a majority vote of Elective Officers, except for amendments relating to the election or eligibility for office.

Section 2. Amendments to the By-Laws relating to the election or eligibility for office may be effected by a two-thirds majority of the voting membership present at any annual meeting or by mail ballot after approval by three-quarters vote of the Elective Officers and notice to the membership.
